Terms and Conditions
1. Parties and Website
These Terms and Conditions (“Terms”) govern access to and use of https://peptide.cventix.net (the “Website”) and the purchase of any products listed on the Website. The Website is operated by Swedish Commerce Limited (trading as Healius Peptides), a company incorporated in England and Wales, registered office: 128 City Road, London, EC1V 2NX, United Kingdom (the “Company”). 2. Acceptance of Terms
By accessing the Website, creating an account, or placing an order, the user (“Customer”) confirms that they have read, understood, and agree to be bound by these Terms, together with the Company’s Privacy Policy and any policies referenced herein. If the Customer does not agree, the Website must not be used and no order should be placed.
3. Eligibility and Responsible Use
Access to and purchase from the Website are intended exclusively for professional, qualified laboratory and research personnel who are at least 18 years of age and who understand the handling, storage, and hazards of research chemicals. The products are supplied strictly for in-vitro laboratory research use only. Products are not intended for human or veterinary use, administration, diagnostic, therapeutic, or cosmetic applications.
4. Regulatory Status (US/UK/EU/International)
Products supplied by the Company are classified and sold strictly as research-use chemical materials. They are not approved, licensed, registered, or intended for use as medicinal products, investigational new drugs, veterinary medicines, medical devices, dietary supplements, foods, cosmetics, or other consumer products. Products must not be marketed, represented, labeled, or used as drugs, therapies, or cosmetics.
United States (FDA and Federal Law)
Products are not approved by the U.S. Food and Drug Administration (FDA) for any purpose and must not be used to diagnose, treat, cure, mitigate, or prevent any disease or medical condition. Products must not be administered to humans or animals under any circumstances, and must not be compounded or otherwise incorporated into preparations intended for clinical, therapeutic, diagnostic, or consumer use. Customers are responsible for compliance with applicable federal and state requirements, including without limitation: (i) the Federal Food, Drug, and Cosmetic Act; (ii) the Controlled Substances Act (where applicable); (iii) OSHA’s laboratory and chemical handling regulations; and (iv) any relevant state and local laws governing procurement, storage, use, and disposal of chemical materials.
United Kingdom
Products are not marketed as medicinal products within the meaning of the Human Medicines Regulations 2012 and are not approved by the MHRA. Products must not be used in clinical, therapeutic, or consumer applications, nor in any manner that would bring them within UK regimes governing medicinal products, medical devices, cosmetics, or foods.
European Union
Products are not placed on the market as medicinal products under Directive 2001/83/EC, nor as medical devices under Regulation (EU) 2017/745. They are not intended for use as food or feed under Regulation (EC) 178/2002, or as cosmetics under Regulation (EC) 1223/2009. Products must not be used in any application that would trigger the above frameworks or related national implementations.
International (All Other Jurisdictions)
For jurisdictions outside the US, UK, and EU, the Customer is solely responsible for identifying and complying with all applicable laws and regulations relating to importation, customs, chemical safety, occupational health and safety, environmental protection, and research licensing or notifications, and for obtaining any required permits or approvals prior to purchase or use.
End-User Responsibility
The Customer represents and warrants that they are a qualified research professional or are acting on behalf of a qualified research institution, and will ensure that the products are used only within controlled research environments. The Customer is solely responsible for ensuring legal, compliant, and scientifically appropriate use of the products in their jurisdiction.
5. Research-Use Only; Prohibited Uses
Without limitation, the following uses are prohibited: administration to humans or animals; clinical, diagnostic, or therapeutic use; food, beverage, or cosmetic use; household use; compounding or manufacturing of medicinal products; and any use in contravention of applicable laws or regulatory restrictions. The Customer must implement appropriate risk assessments, laboratory controls, and safety measures, and shall ensure all users are adequately trained and competent.
6. Due Diligence and Right to Refuse Supply
The Company may request professional or institutional credentials, end-use confirmations, or other information prior to accepting an order. The Company may decline, restrict, or cancel any order at its discretion, including where the intended use appears to breach these Terms or applicable law. The Company may maintain an internal list of declined purchasers to uphold compliance and safety obligations.
7. Ordering and Contract Formation
Placing products in a basket or initiating checkout does not create a binding contract. A binding contract forms only when the Company issues an order confirmation or dispatch notice. The Company reserves the right to correct errors or inaccuracies (including pricing and availability) and to cancel orders prior to dispatch if a material error is identified; in such cases, any amounts paid for the cancelled items will be refunded.
8. Prices, Taxes, and Duties
Prices displayed exclude applicable taxes, duties, import VAT, customs charges, brokerage fees, and similar charges unless stated otherwise. The Customer is responsible for all taxes and charges arising from importation and delivery into the destination country. Currency conversions or foreign exchange fees charged by payment providers or card issuers are the Customer’s responsibility.
9. Payment
Payment methods accepted are those displayed at checkout and are processed via third-party payment providers. The Company does not store full card details. By submitting payment details, the Customer authorises the Company (or its payment processor) to charge the total amount shown, including taxes and shipping charges where applicable. All orders are subject to anti-fraud checks and compliance screening; orders may be cancelled or held pending verification.
10. Shipping, Risk, and Title
Orders shipped to customers located in the United States are fulfilled and dispatched from the Company’s facility in California. Orders shipped to the United Kingdom, European Union, and all other international destinations are fulfilled and dispatched from the Company’s UK facility.
Dispatch times are estimates and not guarantees. Risk of loss passes to the Customer upon delivery to the carrier. Title passes upon full payment and dispatch unless otherwise required by mandatory law. The Customer must ensure lawful importation and provide all documents needed for customs clearance. Shipments that are seized, returned, or destroyed by authorities due to regulatory or import non-compliance remain the Customer’s responsibility.
11. Inspection and Acceptance
The Customer must inspect deliveries promptly upon receipt and notify the Company of any issues (shortage, damage, wrong item) within five (5) business days. Failure to provide timely notice constitutes acceptance. Where a valid claim is made, the Company may, at its discretion, replace the affected items or issue a refund for the affected portion of the order; this is the Customer’s sole remedy.
12. Returns and Cancellations
Due to the nature of research chemicals, all sales are final. Returns cannot be accepted and orders cannot be cancelled after dispatch, except where required by mandatory law. Nothing in these Terms limits rights that cannot lawfully be excluded under applicable consumer protection legislation, to the extent such legislation applies to the Customer’s purchase.
13. Product Information and Variations
Specifications, certificates of analysis, safety documentation, and product descriptions are provided for laboratory research planning only and may be updated or corrected without notice. Minor variations in appearance or packaging may occur. The Customer is responsible for verifying suitability for their laboratory methods and experiments.
14. Compliance, Safety, and Documentation
The Customer is responsible for obtaining, reviewing, and complying with all applicable Safety Data Sheets (SDS), hazard classifications, and local occupational health and safety requirements. The Customer must ensure appropriate storage, handling, waste disposal, and record-keeping in accordance with applicable law (including REACH/UK REACH obligations where relevant to their use case). The Customer must not remove or obscure any hazard statements or labels.
15. Export Controls and Sanctions
Supply may be restricted by export control or sanctions regulations. The Customer represents and warrants that products will not be used, sold, shipped, or otherwise transferred in breach of UK, EU, US, or other applicable export control and sanctions laws.
16. Intellectual Property
All intellectual property rights in the Website, its content, trademarks, logos, product descriptions, data sheets, images, and code are owned by or licensed to the Company. No licence is granted to copy, reproduce, adapt, translate, distribute, or create derivative works, except for limited personal, non-commercial viewing of the Website as necessary to place an order. Any unauthorised use is prohibited.
17. Warranties and Disclaimers
Products are supplied “as is” for research use, without any express or implied warranties, including fitness for a particular purpose, merchantability, non-infringement, or suitability for clinical use. To the maximum extent permitted by law, the Company disclaims all warranties relating to the Website, its availability, and content accuracy. The Customer is solely responsible for validating suitability and results within their laboratory environment.
18. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, consequential, incidental, punitive, exemplary, or special losses, including loss of profits, revenue, reputation, data, research outcomes, or business interruption, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not such losses were foreseeable.
The Customer acknowledges that the products are supplied strictly for in-vitro laboratory research use only and are not intended for human or animal administration, ingestion, application, or exposure under any circumstances. The Company shall have no liability whatsoever for any harm, injury, illness, adverse reaction, toxicity, physiological effect, or death resulting from misuse, deliberate misuse, accidental misuse, improper handling, storage, transfer, reselling, or administration of any product, including but not limited to use in clinical, therapeutic, diagnostic, cosmetic, food, or other consumer-facing applications, or use outside controlled laboratory environments.
Without prejudice to the above, the Company’s total aggregate liability in respect of any claim, whether in contract, tort, negligence, equity, breach of statutory duty, or otherwise, shall in no event exceed the amount actually paid by the Customer for the product(s) giving rise to the claim. Nothing in these Terms excludes or limits liability where such limitation or exclusion is prohibited by applicable law.
19. Customer Indemnity
The Customer agrees to indemnify and hold harmless the Company and its officers, employees, and contractors against all claims, losses, liabilities, costs, and expenses arising from: (a) the Customer’s breach of these Terms; (b) misuse or unauthorised use of the products; (c) failure to comply with applicable laws or safety obligations; or (d) the Customer’s negligence or wilful misconduct.
20. Data Protection
Processing of personal data is governed by the Company’s Privacy Policy, which forms part of these Terms. The Customer should review the Privacy Policy for information on legal bases, international transfers, and individual rights under UK/EU data protection law.
21. Third-Party Links and Tools
The Website may contain links to third-party sites or offer third-party tools. The Company has no control over third-party services and is not responsible for their content, security, or availability. Use of third-party services is at the Customer’s own risk and subject to those providers’ terms and policies.
22. Suspension and Termination
The Company may suspend or terminate access to the Website or cancel orders where there is suspected fraud, regulatory risk, breach of these Terms, or non-payment. Any rights or obligations which by their nature should survive termination (including intellectual property, limitations of liability, and indemnities) shall continue in force.
23. Force Majeure
The Company shall not be liable for delay or failure to perform due to events beyond its reasonable control, including but not limited to acts of God, epidemics, war, sanctions, supply chain disruptions, labour disputes, carrier delays, or governmental actions.
24. Changes to the Website or Terms
The Company may update products, pricing, content, or these Terms from time to time. The version published on the Website at the time an order is placed will govern that order. Continued use of the Website after changes take effect constitutes acceptance of the updated Terms.
25. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, without prejudice to mandatory rights available to consumers (if applicable) under the law of their habitual residence.
26. Miscellaneous
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No Waiver: Failure to enforce any provision shall not constitute a waiver.
Entire Agreement: These Terms, together with the Privacy Policy and any documents referenced, constitute the entire agreement between the Customer and the Company regarding the Website and products.
